Day 1

Governance audit planning, evidence and Board evaluation

Module 1 — Governance audit framework and engagement planning

  • Applicable laws, codes, charters, policies and internal criteria
  • Scope, objectives, independence, materiality and work programme
  • Document requests, interviews, sampling and evidence sufficiency

Practical application: Develop a risk-based governance audit programme.

Module 2 — Testing governance design and operating effectiveness

  • Delegation, reserved matters and committee mandates
  • Meeting packs, minutes, decisions and action tracking
  • Ethics, conflicts, whistleblowing, compliance and control environment

Practical application: Evaluate a sample governance evidence file and record findings.

Module 3 — Board and committee effectiveness evaluation

  • Evaluation criteria, questionnaires, interviews and observation
  • Composition, skills, independence, tenure and succession
  • Chair effectiveness, challenge, dynamics and quality of information

Practical application: Score a simulated Board and interpret the results.

Module 4 — Auditing ESG and sustainability oversight

  • Metrics, targets, reporting controls and management certification

Practical application: Assess the maturity of a Board ESG oversight framework.

Module 5 — Findings, root causes and defensible reporting

  • Condition, criteria, cause, consequence and recommendation
  • Risk rating, evidence referencing and management responses
  • Balanced conclusions, benchmarking and confidentiality

Practical application: Draft regulator-grade governance findings from case evidence.

Module 6 — Remediation, follow-up and Board reporting

  • Corrective-action design, ownership and deadlines
  • Validation of closure evidence and residual risk
  • Audit committee reporting and continuous governance improvement

Practical application: Build a remediation tracker and present conclusions to a mock committee.
